Terms of Service

Overview

These Terms of Service govern your use of the NovaAds platform (novaads.ca) and any services provided by NovaAds. By placing an order or using our platform, you agree to be bound by these terms. If you do not agree, do not use our services.

NovaAds is based in Toronto, Ontario, Canada. These terms are governed by the laws of the Province of Ontario.

1. Services

NovaAds creates short-form video ad assets (15–60 seconds) for businesses. We produce scripts, AI-generated video content, and ad-ready deliverables in vertical format (9:16) for use on platforms such as TikTok and Instagram Reels.

Important: NovaAds creates ad content only. We do not run, manage, optimize, or guarantee the performance of your ads. How your ads perform on any platform depends on your targeting, budget, audience, and ad strategy — all of which are your responsibility. NovaAds does not run, manage, or optimize ads under any package.

2. Packages and Pricing

All prices are in Canadian Dollars (CAD). Our current packages are:

NovaAds reserves the right to update pricing at any time. The price in effect at the time of your order confirmation is the price you will be charged.

3. Payment Terms

We accept payment via Interac e-Transfer (Canadian clients) only. Payment is sent to novadvertisement@gmail.com.

• —A 30% deposit is required upfront before production begins.
• —The remaining 70% is due upon delivery of watermarked preview files.
• —Final watermark-free files are released only after full payment has been received and confirmed.

Failure to complete payment within 7 days of preview delivery may result in cancellation of the order. In such cases, the deposit is forfeited.

4. Delivery

Delivery timelines begin once the deposit has been received and all required brand assets and information have been submitted by the client.

• —Starter and Growth: Standard delivery within 48 hours (2 business days).
• —Nova: Priority delivery within 24 hours (1 business day).

Delays caused by incomplete or late submission of required information from the client do not extend our delivery guarantee. If we fail to deliver within the agreed timeframe due to our own fault, the client may request a full refund.

5. Revisions

Each package includes a set number of revision rounds:

• —Starter: 1 revision round.
• —Growth: 2 revision rounds.
• —Nova: 3 revision rounds.

A revision round includes changes to script, pacing, text overlays, or visual direction based on your feedback. Additional revision rounds beyond your package limit may be available at an extra charge, at our discretion.

6. Ownership and Usage Rights

Upon receipt of full payment, the client receives full commercial rights and unlimited usage rights to all final delivered assets. You may use the delivered videos on any platform, in any format, for any commercial purpose, without restriction or expiry.

NovaAds retains the right to showcase delivered work in our portfolio on novaads.ca and on our social media accounts. If you wish to keep your deliverables private and out of our portfolio, you must notify us in writing before or at the time of delivery. We will honour all such requests.

7. Refund Policy

• —Deposits are non-refundable once production has started.
• —If NovaAds fails to deliver within the agreed timeframe due to our own fault, the client is entitled to a full refund including the deposit.
• —Refunds are not issued for dissatisfaction with final deliverables after all included revision rounds have been used.

8. Client Responsibilities

To ensure timely and accurate delivery, clients must:

• —Provide accurate and complete brand information, including brand name, product details, target audience, and tone.
• —Submit all required assets (product images, logos, reference videos) promptly after placing an order.
• —Respond to revision requests and feedback cycles in a timely manner.

NovaAds is not responsible for delays caused by the client’s failure to provide required information or assets on time.

9. Prohibited Use

You may not use NovaAds services to create content that:

• —Is illegal under Canadian federal or Ontario provincial law.
• —Is defamatory, harassing, or designed to harm an individual or group.
• —Infringes on third-party intellectual property, trademarks, or copyrights.
• —Promotes hate speech, violence, or discrimination.
• —Is misleading, fraudulent, or deceptive in nature.

NovaAds reserves the right to refuse any order that violates these conditions, without refund of any amounts paid.

10. Limitation of Liability

NovaAds creates advertising assets. We make no guarantees, representations, or warranties regarding the performance of any ad content we produce. Ad performance — including reach, clicks, conversions, sales, or return on ad spend — depends on factors entirely outside our control, including but not limited to your ad targeting, budget, platform algorithms, and market conditions.

To the maximum extent permitted by applicable law, NovaAds shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or the performance (or non-performance) of delivered ad assets.

11. Termination

NovaAds reserves the right to refuse service to any individual or business at our sole discretion, with or without cause. If an order is refused prior to production starting, any deposit paid will be refunded in full.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. Any disputes arising under these terms shall be resolved in the courts of Ontario.

13. Changes to These Terms

We may update these Terms of Service at any time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
